Terms”) govern the provision of private online French language lessons and related services by
Valeria Voronina, operating under the brand
cozy French, from
404 Willowdale Crescent SE, Calgary, Alberta, T2J 1K3, Canada (the “
Provider”, “
we”, “
us”, or “
our”), to any person purchasing, booking, or using the Services (the “
Student”, “
Client”, “
you”, or “
your”).
By purchasing, booking, accessing, or attending any of our Services, or by indicating acceptance of these Terms on our website, you agree to be legally bound by these Terms.
Important Notice: The Provider offers
private online French language instruction, educational support, and informational services. The Provider is
not a public school, accredited college, licensed university, or degree-granting educational institution, unless expressly stated otherwise in writing.
1. Definitions1.1. “
Provider” means Valeria Voronina, a self-employed sole proprietor operating under the brand
cozy French, and any authorized representatives engaged to provide the Services.
1.2. “
Services” means the private online French language lessons, educational support, informational services, and related offerings made available by the Provider, including but not limited to individual lessons, “1+1” lessons, group lessons, conversation clubs, feedback, chat access, learning materials, and bonus services.
1.3. “
Website” means the Provider’s website and related online resources, including
https://www.cozyfrench.com, as updated from time to time.
1.4. “
Platform” means any third-party online platform, software, or communication tool used to deliver the Services, including but not limited to Zoom, Google Meet, Microsoft Teams, messaging applications, scheduling tools, cloud storage services, or similar systems.
1.5. “
Lesson” means a scheduled live online session provided as part of the Services.
1.6. “
Package” means a prepaid bundle of Lessons or Services valid for a stated period.
1.7. “
Subscription” means a recurring billing arrangement under which the Student receives access to a set number of Lessons or Services during a specified billing cycle.
1.8. “
1+1 Format” means a lesson format in which one teacher provides structured explanation, guidance, or theory-based instruction, and one native French speaker or other designated instructor provides speaking practice, pronunciation work, conversation training, or applied communication practice.
1.9. “
Materials” means all educational and informational content provided by the Provider, including worksheets, presentations, lesson plans, exercises, homework, chat messages, audio, video, documents, recordings, feedback, and other resources.
1.10. “
No-show” means a failure by the Student to attend a scheduled Lesson, including failure to join within the grace period stated in these Terms.
1.11. “
Business Day” means a day other than Saturday, Sunday, or a statutory holiday in Alberta, Canada.
2. Services Provided2.1. The Provider offers private online French language instruction and related educational support services to international students.
2.2. The Services may include, depending on the purchased format:
- individual lessons;
- “1+1” individual lessons;
- mini-group lessons;
- larger group lessons;
- conversation clubs;
- homework review and feedback;
- messaging or chat support;
- trial lessons;
- bonus materials or supplementary content.
2.3. Lessons are delivered online, in real time, through the internet using a Platform selected by the Provider.
2.4. The Provider may deliver the Services personally or through one or more teachers, tutors, native speakers, assistants, independent contractors, or other authorized representatives.
2.5. The Provider reserves the right to make reasonable changes to teaching methods, lesson structure, curriculum order, learning materials, online platforms, and teacher assignment, provided that the essential nature of the purchased Services remains materially unchanged.
2.6. The Services are educational and informational in nature and do not constitute accredited academic instruction, regulated educational programming, or officially recognized qualifications unless expressly stated in writing by the Provider.
3. Registration and Eligibility3.1. To purchase or use the Services, you must provide accurate, complete, and current information reasonably requested by the Provider.
3.2. By purchasing or using the Services, you represent and warrant that:
- you are at least the age of majority in your province, state, or country of residence; or
- if the Student is a minor, the Services are purchased and accepted by the Student’s parent or legal guardian, who agrees to be bound by these Terms on behalf of the Student and themselves.
3.3. If a person purchases Services for another individual, that purchaser remains responsible for payment and for ensuring compliance with these Terms.
3.4. The Provider is not responsible for any consequences arising from inaccurate, outdated, incomplete, or misleading information supplied by the Student or purchaser.
3.5. The Provider may refuse registration, booking, or continued participation where reasonably necessary for business, legal, operational, or safety reasons.
4. Acceptance of Terms4.1. These Terms are accepted when you do any of the following:
- make payment for any Service;
- book a Lesson, Package, or Subscription;
- check a box or otherwise indicate acceptance on the Website;
- attend or use any part of the Services.
4.2. A binding agreement is formed between you and the Provider on the earlier of:
- the date payment is received; or
- the date you expressly accept these Terms electronically or in writing.
5. Payment Terms5.1. PricingAll prices are determined by the Provider and published on the Website or otherwise communicated to the Student. Prices may be shown in Canadian dollars or another currency specified by the Provider.
5.2. PrepaymentUnless otherwise agreed in writing, all Services must be paid in full in advance.
5.3. Packages and SubscriptionsPackages and Subscriptions are valid only for the period stated at the time of purchase. Unless otherwise stated, a monthly Package or Subscription is valid for one calendar month or one billing cycle.
5.4. Expiry of LessonsUnused Lessons within a Package or Subscription expire at the end of the applicable validity period unless the Provider expressly agrees otherwise in writing. Expired Lessons are forfeited and are not refundable, transferable, or exchangeable for cash.
5.5. Price ChangesThe Provider may change pricing at any time for future purchases or future Subscription renewals by updating the Website or notifying Students in advance.
5.6. Payment MethodsPayments may be made by bank card, bank transfer, electronic payment platform, or any other method accepted by the Provider.
5.7. Transaction CostsThe Student is responsible for any bank charges, currency conversion fees, transfer charges, or payment processing fees imposed by third parties, unless applicable law requires otherwise.
5.8. Failed or Reversed PaymentsIf a payment fails, is reversed, is disputed, or is not received in full, the Provider may suspend access to the Services, cancel future Lessons, or require a different payment method before continuing performance.
5.9. Installment or Financing ArrangementsIf the Student uses a third-party financing or installment service, the Provider is not responsible for any obligations owed by the Student to that third party.
6. Refund Policy6.1. General PrincipleBecause the Provider reserves time, scheduling capacity, and teaching resources in advance, refunds are limited and subject to these Terms.
6.2. Cancellation Before Services BeginIf the Student cancels before the first Lesson or before access to the purchased Services begins, the Provider may issue a refund minus:
- payment processing or transaction fees;
- administrative costs;
- the value of any consultation, trial lesson, onboarding, materials, or bonus content already provided;
- any non-recoverable third-party costs already incurred.
6.3. Cancellation After Services BeginIf the Student cancels after Services have started, any refund, if approved, will be calculated as:
Refund = Amount Paid – (Value of Services Already Provided + Non-recoverable Costs)The “Value of Services Already Provided” may include:
- Lessons completed;
- Lessons deemed completed under these Terms;
- access to chats or communication channels;
- homework review or feedback;
- materials already delivered;
- reserved teacher time;
- onboarding or administrative work already performed.
6.4. Non-Refundable Amounts The following are generally non-refundable:
- completed Lessons;
- missed Lessons treated as completed;
- expired Packages or Subscriptions;
- fees charged by third-party processors;
- bonus services or access already granted;
- partially used monthly arrangements unless otherwise required by law.
6.5. No Refund for Subjective Dissatisfaction AloneDifferences in teaching style, personal preference, dissatisfaction with pace, lack of expected progress, disagreement with methodology, or failure by the Student to attend or participate do not by themselves create a right to a refund.
6.6. Refund RequestsAll refund requests must be submitted in writing by
email or
messenger, including
WhatsApp or
Telegram, and must include the Student’s full name, purchase details, and reason for the request.
6.7. Review PeriodThe Provider will review refund requests within
3 calendar days after receiving sufficient information to assess the request.
6.8. Method of RefundAny approved refund will be issued to the original payment method where reasonably possible, or by another method chosen by the Provider.
6.9. Deadline for Refund RequestsTo the extent permitted by law, refund requests should be submitted no later than the last day of the relevant Package or Subscription period.
7. Cancellation and Rescheduling Policy7.1. Student ReschedulingA Student may reschedule an individual Lesson by giving at least
24 hours’ notice before the scheduled start time.
7.2. Late ReschedulingIf less than
24 hours’ notice is given, the Lesson may be treated as completed, with no refund, replacement, or credit.
7.3. Group LessonsGroup Lessons, conversation clubs, and similar sessions are generally not reschedulable on an individual basis. If a Student does not attend, the session is forfeited.
7.4. Provider ReschedulingThe Provider may reschedule a Lesson where reasonably necessary, including in cases of illness, emergency, force majeure, technical failure, scheduling conflict, or teacher unavailability. In such cases, the Provider may offer:
- a substitute teacher;
- a rescheduled Lesson; or
- a reasonable lesson credit,
- at the Provider’s discretion.
7.5. Repeated Scheduling Changes by StudentIf a Student repeatedly changes scheduled times, the Provider may require a fixed schedule or limit future flexibility.
8. No-show Policy8.1. If the Student does not join a Lesson within
15 minutes of the scheduled start time, the Lesson may be treated as a No-show.
8.2. A No-show Lesson is deemed completed and is not refundable, replaceable, or creditable.
8.3. If the Student joins late, the Lesson will still end at the scheduled time unless the Provider agrees otherwise.
8.4. If the Provider or assigned teacher is late, reasonable efforts will be made to extend the session or offer a fair alternative.
9. Technical Requirements and Technical Issues9.1. The Student is responsible for maintaining suitable internet access, equipment, software, device functionality, microphone, and any other technical requirements necessary to participate in the Services.
9.2. The Provider is not responsible if the Student cannot attend or fully participate in a Lesson due to the Student’s internet failure, device problems, software issues, power outage, local restrictions, or similar technical issues on the Student’s side.
9.3. If a Lesson cannot reasonably be delivered due to a technical issue on the Provider’s side, the Provider will make reasonable efforts to reschedule the Lesson or provide an appropriate credit.
9.4. The Provider is not liable for interruptions or failures caused by third-party Platforms or software providers beyond the Provider’s reasonable control.
10. Teacher Assignment and Substitution10.1. The Provider reserves the right to assign or reassign teachers, tutors, native speakers, assistants, or other educational personnel to the Services.
10.2. Where a Student purchases the “1+1” Format, the Provider will use reasonable efforts to deliver the educational model as described, but may adjust personnel, scheduling, and lesson structure where reasonably necessary.
10.3. Unless expressly guaranteed in writing, purchase of the Services does not guarantee permanent access to any specific teacher.
10.4. Teachers and other personnel engaged in the provision of Services may be employees, subcontractors, or independent contractors. No direct contractual relationship is created between the Student and any individual teacher.
11. Lesson Duration and Delivery11.1. Standard lesson durations will be as stated on the Website or otherwise communicated by the Provider.
11.2. Unless otherwise stated:
- individual lessons and mini-group lessons may be approximately 60 minutes;
- some lessons may be 55 minutes depending on teacher format;
- larger group sessions may be approximately 90 minutes.
11.3. Minor adjustments to lesson timing, pacing, or structure do not constitute a breach of these Terms where the essential nature of the purchased Service is maintained.
12. Chat Access, Feedback, Homework, and Bonus Services12.1. Where included in the purchased format, the Provider may offer access to messaging channels, chats, support groups, or direct communication for scheduling, discussion, homework, and feedback.
12.2. Access to chat, feedback, and bonus services lasts only for the relevant Package or Subscription period unless otherwise stated by the Provider.
12.3. Homework review and feedback are available only to the extent included in the purchased Service and within the deadlines or formats set by the Provider.
12.4. If the Student chooses not to use available support, feedback, homework review, or bonus services, this does not mean the Services were not provided and does not create any refund entitlement.
13. Recording of Lessons13.1. Individual Lessons are generally not recorded unless the Provider expressly states otherwise.
13.2. Group Lessons may be recorded at the Provider’s discretion.
13.3. Where a recording is made, the Provider may, but is not obligated to, give the Student temporary access to it.
13.4. Any recording access is personal, limited, revocable, and for private educational use only.
13.5. The Student may not record, copy, photograph, screenshot, or otherwise capture any part of the Services without the Provider’s prior written consent.
13.6. If a Student participates in a recorded group session, the Student acknowledges that their name, voice, image, or comments may incidentally appear in the recording as part of normal service delivery.
14. Intellectual Property14.1. All Materials and all intellectual property rights in the Services belong to the Provider and/or the Provider’s licensors.
14.2. The Student receives only a limited, non-exclusive, non-transferable, revocable licence to use the Materials for personal, non-commercial learning purposes.
14.3. The Student must not, without prior written consent from the Provider:
- copy, reproduce, distribute, sell, publish, upload, or share Materials;
- send Materials to third parties;
- record Lessons;
- create derivative educational products based on the Materials;
- use the Materials for teaching others;
- use the Materials for commercial purposes;
- share access links, files, or educational content with others.
14.4. Unauthorized use of the Materials may result in immediate suspension or termination of Services without refund and may lead to legal action.
15. Code of Conduct15.1. The Student must behave respectfully toward the Provider, teachers, staff, contractors, and other students.
15.2. The following behavior is prohibited:
- abusive, insulting, discriminatory, threatening, or harassing conduct;
- aggressive language or repeated disruption;
- obscene or offensive speech;
- defamation or knowingly false statements about the Provider or Services;
- misuse of Materials or confidential content;
- conduct that interferes with the delivery of the Services.
15.3. The Provider may suspend or terminate access to the Services immediately, without refund, where the Student materially breaches this section.
16. Acceptance of Services16.1. Each Lesson, chat access grant, feedback item, and other service component is considered separately provided when delivered.
16.2. A Lesson is considered provided when:
- it is completed; or
- it is treated as completed under these Terms due to late cancellation, No-show, or Student-side technical failure.
16.3. Chat access is deemed provided once access is granted, whether or not the Student actively uses it.
16.4. Feedback is deemed provided when sent by the Provider or when the Student fails to submit work within the applicable period.
16.5. If the Student believes a Service was not properly delivered, the Student must notify the Provider in writing within
3 calendar days after the relevant event. Otherwise, the Service will be deemed accepted to the extent permitted by law.
17. Disclaimer: No Guaranteed Results17.1. The Provider does not guarantee any particular educational, linguistic, academic, professional, immigration, or personal result.
17.2. The Provider does not guarantee:
- fluency;
- exam results;
- speed of progress;
- pronunciation outcomes;
- confidence outcomes;
- job, visa, or admission results;
- achievement of a specific level within a fixed period.
17.3. Student progress depends on factors outside the Provider’s control, including attendance, motivation, consistency, prior knowledge, homework completion, language exposure, and individual learning ability.
18. Limitation of Liability18.1. To the maximum extent permitted by applicable law, the Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of income, loss of opportunity, loss of data, or reputational loss.
18.2. The Provider is not liable for:
- Student absence, lateness, or lack of participation;
- Student-side technical issues;
- interruptions caused by third-party Platforms;
- payment processor issues;
- subjective dissatisfaction not amounting to legal non-performance;
- consequences of decisions made by the Student based on educational content.
18.3. To the maximum extent permitted by law, the Provider’s total liability arising out of or related to the Services shall not exceed
the amount paid by the Student in the last 1–3 months, whichever is lower, in relation to the specific Service giving rise to the claim.
18.4. Nothing in these Terms excludes any liability that cannot lawfully be excluded under applicable Canadian law.
19. Privacy and Data Protection19.1. The Provider may collect and process personal information including name, email address, phone number, messaging account details, payment information, scheduling data, attendance information, and communications for the purposes of:
- registration;
- lesson scheduling and delivery;
- payment processing;
- client support;
- service administration;
- quality control;
- legal compliance;
- marketing communications where permitted by law or based on consent.
19.2. The Provider may use third-party service providers to process or store personal information, including payment processors, communication platforms, email tools, and lesson platforms.
19.3. By using the Services, the Student acknowledges that personal information may be stored or processed in Canada or in other jurisdictions where service providers operate.
19.4. The Provider will take reasonable steps to protect personal information, but no electronic storage or transmission method is completely secure.
19.5. The Student must not disclose or misuse the personal information of teachers, staff, or other students.
20. Independent Contractors20.1. Some teachers, native speakers, tutors, assistants, or other persons involved in providing the Services may be engaged as independent contractors.
20.2. Nothing in these Terms creates an employment, partnership, agency, joint venture, or direct contractual relationship between the Student and any such individual.
20.3. The Provider remains responsible for organizing the purchased Services but may determine how and by whom the Services are delivered.
21. Termination and Suspension21.1. The Provider may suspend or terminate access to the Services immediately if:
- payment is overdue or reversed;
- the Student breaches these Terms;
- the Student infringes intellectual property rights;
- the Student engages in abusive, harmful, or disruptive conduct;
- continuing the Services would create legal, reputational, safety, or operational risk.
21.2. Where Services are terminated due to the Student’s breach, no refund is owed for unused portions, to the extent permitted by law.
21.3. The Student may stop using the Services at any time, but any refund remains subject to these Terms.
22. Amendments to Terms22.1. The Provider may amend these Terms from time to time.
22.2. Updated Terms take effect when posted on the Website or otherwise communicated to Students, unless a later date is stated.
22.3. Continued use of the Services after the effective date of revised Terms constitutes acceptance of the updated Terms.
23. Governing Law and Dispute Resolution23.1. These Terms and any dispute arising from them or from the Services shall be governed by the laws of the
Province of Alberta and the federal laws of
Canada applicable therein.
23.2. Before commencing formal proceedings, the parties agree to attempt in good faith to resolve disputes through written communication.
23.3. Any complaint or claim by the Student must be sent by email and include sufficient details and supporting documents.
23.4. The Provider will review complaints within
10 calendar days of receipt of sufficient information.
23.5. Subject to mandatory consumer protection law, the courts of
Calgary, Alberta, Canada shall have jurisdiction over disputes arising in connection with these Terms.
24. Force Majeure24.1. The Provider is not liable for delay, interruption, or failure to perform due to events beyond reasonable control, including illness, emergencies, accidents, internet outages, cyber incidents, natural disasters, government restrictions, labor disruptions, or platform failures.
24.2. In such cases, the Provider may suspend, reschedule, modify, or cancel affected Services without liability, while making reasonable efforts to offer an alternative where feasible.
25. Severability25.1. If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
26. Entire Agreement26.1. These Terms, together with any pricing page, booking confirmation, service description, subscription terms, and Privacy Policy referenced by the Provider, form the entire agreement between the Provider and the Student regarding the Services.
26.2. No oral statement or informal communication shall vary these Terms unless confirmed in writing by the Provider.
